2020: Florida Companies & Annual Company Compliance — We Can Help!

Happy New Year! The beginning of 2020 is here and serves to remind us Florida companies need to handle annual meetings and compliance documentation from a proactive perspective. Why? Because “preventive” legal work is how companies thrive and minimize the expenses associated with legal missteps. In an era where one small error can have significant financial consequences – this is critical.

The first issue that needs to be handled in the first quarter of the year is a review
and assurance that your “company formalities” (be it a corporation or limited liability
company) are addressed. Annually documenting company formalities serves as the basis
for protecting and giving company owners the “LIMITED LIABILITY” they sought when
they first formed the company. (Failing to do so can put all that you’ve built to date at
risk.) It is the time of year to hold your annual company meeting and/or document the
appropriate paperwork in your company books to assure compliance with Florida state
law (e.g., agenda, minutes, notice of meeting, written consents, etc.) Moreover, for
companies which have failed to do so for several years, this is the perfect opportunity to
review past decisions and document the “ratification” of all major decisions by the
company so as to assure they have been “approved” at the company level and bring your
records up-to-date.

Legal compliance with the law is key to avoiding costly inaction, or worse, the
punitive impact of failing to follow the law. The Reyes Law Group (“RLG”) wants to
be your legal counsel. Call us today (954-369-1993) and schedule a teleconference
appointment to discuss how we can help. Start off 2020 “right” by having RLG review
and draft the company documents needed to assure your corporate and/or LLC
“formalities” are in place and therefore, serve to protect you all year long!
