New Year...now what? Meetings, Minutes and Compliance!

Happy New Year!  The beginning of 2015 serves as a reminder that like time, organizations and law firms do not stand still – they evolve and grow – and so has the Reyes Law Group!

We have expanded our focus to assist small and mid-sized companies meet the routine and not so routine legal challenges they face year-in and year-out.  This year our legal work will focus on assisting companies handle legal issues from a proactive perspective.  Why?  Because “preventive” legal work is how companies thrive and minimize the expenses associated with legal missteps.  In an era where one small error can have significant financial consequences – this is critical.  Our “Outside Counsel Program” is designed to help companies kick-off  a successful 2015 by engaging our services right out of the gate – services designed to focus on and learn about your business (from the inside out) and key in on legal issues and concerns that will serve to protect your business.  These include, but are not limited to:

  • Reviewing the way your company is set up to assure your limited liability status is protected.
  • Reviewing the ways you conduct business and compliance with applicable laws
  • The nature of your on-line/internet reputation (managing and monitoring is more important than ever).
  • How you handle labor and employment issues in the company to mitigate the potential risks.
  • If and when litigation is needed or must be confronted, doing so with a business perspective in mind.

For those that want to start the new year out right, the first issue that should be confronted in the first quarter of the year is a review and assurance that your “company formalities” (be it a corporation or limited liability company) are addressed.  Annually documenting company activity serves as the basis for protecting and giving company owners the “LIMITED LIABILITY” they sought when they first formed the company.  (Failing to do so can put all that you’ve built to date at risk.)  It is the time of year to hold your annual company meeting and document the appropriate paperwork in your company books to assure compliance with Florida state law (e.g., agenda, minutes, notice of meeting, etc.)  Moreover, for companies which have failed to do so for several years, this is the perfect opportunity to review past decisions and document the “ratification” of recent decisions by the company to assure they have been “approved” at the company level and bring your records to date.

Now for those companies that prefer to practice a “penny wise, a pound foolish,” philosophy – we’re here to help as well.  While the reactive approach is clearly more expensive and stressful – like looking for legal help when you get sued as a result of failing to act pre-suit, it is nevertheless important to have counsel that can bring experience, know-how, and energy to your defense.  While this is not the best approach, we can still help!
